ROYALTY & STRATEGIC EXPOSURE

Preserving Upside Beyond the Drill Bit.

CDN Maverick’s project-generator model includes selective royalty-style and strategic exposure to lithium and gold assets that can create value alongside the company’s active exploration focus. Nevasca, Clayton Valley / Zeus and Kingman Minerals show how the platform can retain upside through disciplined transactions, market exposure, and portfolio layering.

PORTFOLIO EXPOSURE MODEL

How CDN Maverick Holds Project Exposure

CDN Maverick’s project-generator model is not limited to one form of ownership. The company can hold direct mineral-property interests, retain exposure through shares and warrants of partner companies, or preserve potential upside through royalty rights created by strategic transactions.

This layered structure helps explain how Nottaway, Clayton Valley / Zeus and Nevasca each fit into the same value-creation model.

DIRECT PROJECT INTERESTS

Projects CDN Can Advance Directly

Direct project interests are mineral properties where CDN Maverick can control, fund or advance exploration work directly. This is the active exploration layer of the portfolio and includes the company’s current James Bay / Nottaway focus.

SHARES & WARRANTS

Exposure Through Marketable Securities

Some exposure is held through common shares and warrants of other public companies. These securities provide market-linked exposure to another company’s assets and progress, but they are different from direct project ownership or operatorship. CDN Maverick holds two positions of this kind: Noram Lithium shares and warrants tied to Clayton Valley / Zeus, and Kingman Minerals shares and warrants tied to the Mohave gold and silver project in Arizona.

ROYALTY RIGHTS & RETAINED EXPOSURE

Upside Retained After Transactions

In some cases, CDN Maverick can generate an opportunity, transact the asset to another party, and retain potential upside through shares, warrants or royalty rights. Nevasca is the clearest example of this transaction-driven exposure layer.

EXPOSURE IN PRACTICE

Three Examples. Three Types of Exposure.

Nottaway represents CDN Maverick’s current direct technical focus. Clayton Valley / Zeus represents proof of the company’s project-generator model through retained Noram securities. Nevasca demonstrates the transaction side of the model, where a generated lithium opportunity was moved into a partner structure while CDN retained exposure through NOAL securities and a royalty right. Kingman Minerals sits alongside Clayton Valley / Zeus in the marketable-securities layer, extending the same structure to gold.

DIRECT PROJECT INTEREST

Nottaway / James Bay

Nottaway is where CDN Maverick’s model is being applied most directly today: technical review, target refinement, permitting and planned exploration work within the James Bay platform.

Role: current technical focus.

NORAM SHARES & WARRANTS

Clayton Valley / Zeus

Clayton Valley / Zeus is a legacy lithium value-creation story tied to CDN Maverick’s retained exposure to Noram Lithium. It shows how early project involvement can evolve into marketable-securities exposure.

Role: proof of model.

NOAL SHARES / WARRANTS + NSR RIGHT

Nevasca

Nevasca demonstrates CDN Maverick’s ability to generate a lithium opportunity, structure a transaction with a partner, and retain upside through NOAL shares, warrants and a 3% NSR royalty right.

Role: transaction with retained exposure.

Exposure descriptions are based on publicly disclosed filings and company materials. Share, warrant and royalty positions may change over time and should be reviewed with CDN Maverick’s current continuous disclosure filings.

FEATURED EXPOSURE ASSETS

Three assets. One retained-upside strategy.

LEGACY STRATEGIC EXPOSURE

Clayton Valley / Zeus Exposure

Clayton Valley / Zeus is the proof-of-model example. CDN Maverick’s materials connect management to early lithium value creation at Zeus, while CDN’s current exposure is held through Noram common shares and warrants rather than direct project operatorship.

STRATEGIC GOLD EXPOSURE

Kingman Minerals

Kingman Minerals is the marketable-securities example. CDN Maverick holds Kingman Minerals Ltd. common shares and warrants, giving indirect exposure to the Mohave Project and the historic Rosebud Mine in Mohave County, Arizona, without CDN acting as operator.

STRATEGIC LITHIUM EXPOSURE

Nevasca Lithium Project

Nevasca provides CDN Maverick with strategic lithium exposure in Argentina’s Salar de Arizaro. It is the transaction example within the project-generator model: a generated lithium opportunity moved into a partner structure while CDN retained exposure through NOAL securities and a disclosed NSR royalty right.

FREQUENTLY ASKED QUESTIONS

Understanding the Exposure Types

Direct project interests give CDN Maverick the ability to advance work on a mineral property. Share and warrant exposure gives CDN financial exposure to another public company, but does not mean CDN operates that company’s project.

Common shares represent an equity interest in another company. Warrants are rights to purchase shares at a set exercise price for a defined period, subject to the warrant terms.

A royalty right, such as an NSR, can provide retained economic exposure if a project is advanced by another party. It is different from operating the project directly.

It shows that CDN Maverick’s model has more than one path to value: direct exploration, marketable-securities exposure, and retained rights from strategic transactions.
